1. Customer License Agreement

This Customer License Agreement ("Agreement") is made between Unboxed AI, Inc., headquartered in New York, and you—the Customer, as defined below.

By using Unboxed AI's products or services, or by entering into a Statement of Work (SOW), you acknowledge and accept the terms of this Agreement. If you disagree with these terms, you must not use our services.

1. Definitions

1. “Affiliates” – Entities under common ownership or control with either party.

2. “Authorized User” – Any individual authorized by the Customer to access the services.

3. “Customer” – The individual or organization entering into this Agreement with Unboxed AI.

4. “Customer Data” – Information provided or uploaded by the Customer while using the services.

5. “Facility” – Physical or virtual locations where services are utilized.

6. “Fees” – Payments due as outlined in the executed agreement or SOW.

7. “License Agreement” – This document and all referenced attachments or annexes.

8. “Partner” – A third-party entity officially partnered with Unboxed AI.

9. “Partner Contract” – A formal arrangement between Unboxed AI and its partners.

10. “Services” – The offerings provided under the applicable agreement.

11. “Service Data” – Data generated during usage of the services.

12. “Service Software” – The software platform that enables the delivery of services.

13. “Subscription” – The Customer’s authorized access to services for a defined term.

14. “Subscription Start Date” – The date when access to the services begins.

15. “Subscription Term” – The duration for which the subscription remains valid.

16. “Statement of Work (SOW)” – A document specifying project scope, deliverables, and timelines.

2. Scope of Services

Unboxed AI agrees to provide the services as outlined in your agreement or SOW. The Customer agrees to fulfill all responsibilities necessary for successful delivery.

3. Term of Agreement

This Agreement is effective from the Subscription Start Date and remains valid until terminated as permitted herein or upon expiration of the Subscription Term.

4. Licensing and Intellectual Property

4.1 License Grant – Unboxed AI grants you a limited, non-exclusive, non-transferable license to use the services solely under the terms of this Agreement.

4.2 Ownership – All intellectual property rights, including software and service content, remain the exclusive property of Unboxed AI. Customer rights are restricted to those expressly granted. Feedback or suggestions may be used by Unboxed AI without limitation.
